2025 Rogue Invitational x Modtub Giveaway Terms
1. Eligibility
The 2025 Rogue Invitational x Modtub Giveaway (“Giveaway”) is open to natural persons who are legal residents of the United States and District of Columbia (excluding residents of Rhode Island), who are Minimum Age, 18 years of age or older at the time of entry.Void outside of the USA, in Puerto Rico, the US Virgin Islands, and other United States territories and possessions. The Giveaway is subject to all applicable federal, state, and local laws and regulations and is void where prohibited by law. Employees, officers, and directors of Rogue Fitness (“Sponsor”), Modtub (“Prize Provider”), their affiliates, subsidiaries, advertising and promotion agencies, and any entity involved in the development, production, implementation, administration, judging or fulfillment of the Giveaway, including without limitation their immediate family members or persons living in the same household are not eligible to participate.
2. Sponsor and Prize Provider
The Giveaway is sponsored by Coulter Ventures, LLC, located at 545 E 5th Avenue, Columbus, OH 43201 (“Sponsor”).The prize is provided by Modtub, LLC, located at 11410 Mathis Ave – Dallas, TX 75234 (“Prize Provider”).The Prize Provider is not responsible for the administration, execution, or promotion of the Giveaway, and is released from all liability related to the Giveaway except for the manufacturing and/or warranty of the prize itself.
THIS GIVEAWAY IS IN NO WAY SPONSORED, ENDORSED, ADMINISTERED BY, OR ASSOCIATED WITH TIKTOK, INSTAGRAM, OR META.
3. Agreement to Official Rules
Participation constitutes entrant’s full and unconditional agreement to and acceptance of
these Official Rules and the decisions of the Sponsor, which are final and binding. Winning a
prize is contingent upon fulfilling all requirements herein.
4. Entry Period
The Giveaway begins on August 25, 2025; 9:00am EST and ends on Monday, September 8, 2025 at 9am EST (“Entry Period”). Entries received before or after the Entry Period will not be
Eligible.
5. How to Enter
During the Entry Period, entrants must complete the following:
- “Follow @RogueFitness @RogueInvitational and @Modtub on Instagram,
- Like the giveaway post, comment tagging two friends”, If you tag more than two friends, you will receive one additional entry per additional friend tagged into the Giveaway.
- Share to your stories the giveaway post.
A complete submission constitutes a “Qualifying Entry”.
No purchase is necessary to enter or win. A purchase will not increase your chances of winning. Sponsor is not responsible for any entry that is, late, illegible, incomplete, invalid, unintelligible, misdirected or undeliverable, whether due to system errors, omissions, interruption, deletions, defects, delay in operations or transmissions, theft or destruction or failures, faulty transmissions or other telecommunications malfunctions, human error, entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, faulty transmissions, technical malfunctions, or otherwise. Only fully completed entries are eligible. Proof of submission will not be deemed to be proof of receipt by Sponsor.
LIMIT ON ENTRIES PER PERSON. Entrants may enter the Giveaway multiple times. However, no third-party entry or entry through any giveaway service is permitted. Any person who attempts or otherwise encourages the entry of false contact information under multiple identities or uses any device or artifice to enter or encourage false entries, as determined by Sponsor, will be disqualified. Use of robotic entry devices is strictly prohibited.
6. Prize
One (1) Winner will receive one Modtub 2.0 unit, valued at $3,000 USD (the “Prize”) provided by Prize Provider.Shipping method for the Prize shall be determined by Sponsor in its sole discretion. Prizes are awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. The Sponsor reserves the right to substitute a prize, in whole or in part, for a prize of equal or greater monetary value, in the Sponsor’s sole discretion. Values are subject to market conditions, which can fluctuate and any difference between actual market value and actual retail value will not be awarded.
7. TAXES
The value associated with the Prize is taxable as income and the Winner is solely responsible for any taxes, including, but not limited to all applicable federal, state and local taxes that become due with respect to the value of the Prize. If required by applicable law, Sponsor may report the value of the Prize to the Internal Revenue Service in the year the Prize is received by the Winner and may be reported to the Winner and the Internal Revenue Service in the form of a Form 1099. If a Winner fails to provide any requested documentation or information for tax purposes, the Prize may be forfeited and the Sponsor may, in their sole discretion, select an alternate winner.
8. Winner Selection & Notification
Winner(s) will be chosen in a random drawing on or about September 8, 2025 from all Qualifying Entries collected during the Entry Period.The odds of winning will depend on the number of Qualifying Entries received, according to the eligibility requirements in the Giveaway. The random selection will be conducted by the Prize Provider, whose decisions and interpretations on all matters relating to the Giveaway and these Official Rules are final and binding in all respects. Prize Provider reserves the right to disqualify any entrant or Winner and may refuse to award a Prize to a person who is not eligible or has violated a rule, gained unfair advantage in the Giveaway, or obtained winner status using fraudulent means. If there is a dispute about the identity of an entrant, the Prize will be awarded to the natural person first listed on the Qualifying Entry. If a Winner is found to be ineligible or not in compliance with these Official Rules, such Winner will be disqualified.
The Winner will be notified via direct message on Instagram within 7 days of the draw date. The Prize Winner may be asked to provide additional documentation reasonably requested by Sponsor and including affidavit of eligibility, a media release, and information required for tax reporting obligations (“Eligibility and Acceptance Documentation”). Inability of Sponsor to receive a response by the Winner within seven (7) days after selection may result in disqualification of the Winner and an alternate winner may be selected in a random drawing at Sponsor’s discretion, or the Prize may be forfeited.
A Prize will not be awarded, and Winner shall not be entitled to the Prize, unless and until each of the following procedures are completed to Sponsor’s reasonable satisfaction by the timelines set forth below. Within ten (10) days after the Winner is contacted, the Winner must provide Sponsor with the Eligibility and Acceptance Documentation and any necessary information required for tax purposes (including a W-9 tax form). The Winner shall be responsible for providing such information to Sponsor as and when required. Prize will be sent to the winner by U.S. mail within thirty (30) days after Winner has been notified and the Eligibility and Acceptance Documentation is received. If a Prize is returned as undeliverable or if a Winner fails to complete and deliver to the Sponsor the Eligibility and Acceptance Documentation, then Prize will be forfeited, and/or another Winner may be randomly drawn, at the Sponsor’s election. The Prize Sponsor shall handle all shipping and handling of the Prize.
9. General Conditions
By entering this Giveaway, you promise to abide by these Official Rules and decisions of Sponsor, which will be final and binding in all respects. Failure to comply with these Official Rules may result in disqualification from the Giveaway. All Giveaway materials are subject to verification and are void if (a) not obtained in accordance with these Official Rules and through legitimate channels, (b) any part is counterfeited, altered, defective, damaged, illegible, reproduced, tampered with, mutilated or irregular in any way, (c) are obtained where prohibited, or (d) they contain printing, typographical, mechanical, or other errors. You assume all risk of loss, damage, destruction, delay or misdirection of Giveaway materials submitted to Sponsor. In the event any portion of this Giveaway is compromised by activities beyond the control of the Sponsor which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play of the Giveaway or this Giveaway, Sponsor reserves the right at its sole discretion to modify, suspend or terminate the Giveaway. Winning a prize constitutes permission for Sponsor and its agencies to use prize winner’s names, addresses (city & state), voices and/or likenesses, including any portion of the Qualifying Entry submission for purposes of advertising, promotion and publicity without further compensation, unless prohibited by law. Sponsor may prohibit you from participating in the Giveaway or winning a prize if, in its sole discretion, it determines that you are attempting to undermine the legitimate operation of the Giveaway by cheating, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or Sponsor. If for any reason this Giveaway is not able to be conducted as planned, including, but not limited to, by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud or any other causes beyond the reasonable control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Giveaway, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Giveaway and randomly draw from those entries received up to the cancellation/suspension date to award prizes.
By naming or using the likeness or name of another person in your submission as part of your Qualifying Entry, you represent and warrant to Sponsor that you have received permission from that other individual to do so.
10. Release and Limitations of Liability
By participating, entrants agree to release and hold harmless Sponsor, Prize Provider,
Instagram, Facebook, TikTok, and their affiliates from any claim arising out of participation
or prize receipt/use. Prize Provider’s sole responsibility is providing the prize as described; Sponsor assumes no liability for prize defects, delays, or customs issues outside its control. Sponsor will not be responsible for any injury, damage or loss of any kind arising out of your participation in the Giveaway as well as any other claims, damages or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from receipt, acceptance, possession, misuse or use of a prize or participation in any promotion related activity or participation in this Giveaway. YOU AGREE TO RELEASE, DISCHARGE, AND HOLD HARMLESS SPONSOR, ITS AFFILIATES, SUBSIDIARIES, EMPLOYEES, OFFICERS, DIRECTORS, AGENTS AND ASSIGNS FROM AND AGAINST ANY OR ALL CLAIMS, LOSSES, INJURIES, OR DAMAGES RESULTING FROM PARTICIPATION IN THE GIVEAWAY AND YOUR SUBMISSION OF AN ENTRY TO THE GIVEAWAY.
WARNING: ANY ATTEMPT BY ANY PERSON, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER WITH OR VANDALIZE ANY SPONSOR-OWNED WEBSITE OR MOBILE APPLICATION OR RELATED SOCIAL NETWORKING SITE, THE ENTRY PROCESS, OR OTHERWISE INTERFERE WITH OR UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY, MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
11. Disputes
Except where prohibited by law, as a condition of participating in this Giveaway, you agree that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Giveaway, or the prize awarded, shall be resolved individually, without resort to any form of class action; and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at a AAA regional office in Ohio; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental or consequential damages including attorney’s fees or any other damages, other than for entrant’s actual out-of-pocket expenses (i.e., costs associated with participating in this Giveaway), and entrant further waives all rights to have damages multiplied or increased.
12. Privacy
Entrants agree that personal data submitted with an entry, including name, mailing address, phone number, and email address, may be collected, processed, stored and otherwise used by the Sponsor, Prize Provider and their affiliates for the purposes of conducting and administering the Giveaway. By entering the Giveaway, you agree to the transmission, processing, disclosing and storage of such personal data by the Sponsor, Prize Provider and their affiliates. IF YOU DO NOT WISH TO SHARE YOUR INFORMATION, PLEASE DO NOT ENTER THIS GIVEAWAY.
13. WINNER IDENTIFICATION
To obtain a list of the winner, send a self-addressed, stamped envelope to: Rogue Fitness, 545 E. 5th Ave., Columbus, OH 43201, Attn: Rogue Invitational Modtub Giveaway. Any such list requested will contain the winner as of the date of receipt of the request.
